Preamble
These Terms of Service (the "Terms") set out the conditions for using "Hosmane" (the "Service") provided by NOS Co., Ltd. ("we," "us," or "our"). Anyone who uses the Service must agree to these Terms before using it.
Article 1 (Scope)
- These Terms apply to all of the following:
- The "Hosmane" app for iOS and Android (the "App")
- The feature that lets people answer attendance from a web browser through an invitation link without using the App ("Guest Response"), and the web pages for it
- Web pages we operate in connection with the Service (invitation pages, support pages, and so on)
- Any separate rules or explanations we provide for the Service (help, notes shown on screen, and so on) form part of these Terms. If these Terms and those rules or explanations differ, the separate rules or explanations prevail.
- We handle personal information in accordance with our separate Privacy Policy (https://www.nos-co.jp/apps/privacy/hosmane).
Article 2 (Definitions)
In these Terms, the following words have the meanings below.
| User | Anyone who uses the Service (both Account Users and Guests) |
| Account User | A person who creates an account in the App and uses it |
| Guest | A person who answers attendance through Guest Response without creating an account |
| Group | An ongoing community on the Service, such as a youth baseball team, a PTA, or a club |
| Event | A gathering created on the Service for which attendance and fees are collected (including events of a Group and one-off events) |
| Organizer | The Account User who created an Event, or who took it over, and runs it |
| Co-organizer | An Account User appointed by the Organizer to help run an Event |
| Managers | The Organizer and Co-organizers, and, for an Event of a Group, the owner and co-owners of that Group |
| Participant | A User taking part in an Event (including Guests) |
| Invitation Link | A link created by the Managers and shared so that people can join or answer an Event |
| Response Key | Information saved in the browser of a person who used Guest Response, which that person uses to view and change their own response |
| Edit Link | A link that lets a person who used Guest Response view and change their own response from another device or browser (it contains the Response Key) |
Article 3 (Agreement to the Terms)
- Account Users agree to these Terms when they create an account in the App.
- Guests agree to these Terms when they check the box to agree to these Terms and the Privacy Policy on the Guest Response screen and send their response.
- Anyone who does not agree to these Terms may not use the Service.
Article 4 (Guest Response by Persons Under 18 and Children's Information)
- A person under 18 who uses Guest Response must obtain the consent of a parent or guardian (such as a person with parental authority) before answering.
- When a person under 18 sends a response through Guest Response, they are deemed to have obtained the consent of a parent or guardian.
- When registering a child's information (name, date of birth, allergies, and so on) as a family member in the App, the parent or other head of the household must consent as the child's parent or guardian before registering it. The person who registers the information is responsible for what they register.
Article 5 (What the Service Provides)
- The Service provides the following features for running Groups and Events:
- Collecting attendance (including voting on candidate dates)
- Communication from the Managers to Participants (announcements, individual messages, reminders, and so on)
- Calculating fees and extra charges, and recording whether they have been paid ("Fee Records")
- Other features we provide in the App or on web pages
- The Service has no money transfer or payment features. Fees are handed over between Users outside the Service (in cash, through various payment services, and so on), and we are not involved. Any payment instructions or links to external payment services shown in the Service are entered by the Managers.
- The Service calculates fee amounts based on the categories set by the Managers and on Participants' attendance, numbers of people, and so on. The Managers and Participants are responsible for checking that the information the calculation is based on is correct.
- Push notifications from the App reach Account Users only. They do not reach Guests.
Article 6 (Accounts)
- Account Users create an account by a method we specify (signing in with a LINE, Apple, or Google account, or with an email address and password).
- Account Users must manage their own account and sign-in method at their own responsibility and must not let anyone else use them.
- Account Users can delete their account at any time from "Settings" in the App. How data is handled after deletion is set out in the Privacy Policy.
Article 7 (Guest Response)
- Guest Response is available through an Invitation Link when the Managers allow Guest Response for that Event. The Managers may stop allowing it at any time.
- Through Guest Response, we hold the following information:
- Name
- Attendance (attending, undecided, or not attending)
- The number of people in each fee category (the Guest and any companions; for categories whose amount differs by gender, the number of men and of women)
- A message to the Organizer (optional)
- Information needed to provide the Service, such as information for verifying the Response Key and the date and time of agreement
- Guest Response does not collect information requiring special care such as allergies, email addresses, dates of birth, or the gender of each individual. If you need special consideration for food or anything else, tell the Organizer directly.
- Guests must not answer under another person's name. For companions, no names are collected; Guests answer only with the number of people in each category.
- Guests are responsible for keeping their Response Key and Edit Link safe. Anyone who has them can view, change, or cancel the response. Do not give them to others or post them where others can see them. We are not liable for any damage caused by losing the Response Key or Edit Link or by others learning of them (except where we acted intentionally or with gross negligence).
- Depending on browser settings and behavior, the Response Key saved in the browser may be deleted. If that happens, open the response again from the Edit Link.
- Guests can cancel their own response before the Event starts. When a response is cancelled, the name, attendance, numbers of people, message to the Organizer, and Response Key are deleted, and the Guest is removed from the Participants (only a record showing that it was cancelled remains). If you have already paid a fee, discuss any refund with the Organizer. To cancel or change the number of people after the Event has started, ask the Organizer directly.
- The Managers can correct a Guest's number of people in each category (until the Event starts) and can remove a Guest from the Participants. A Guest who has been removed cannot answer again with the same Response Key.
- Before the Event starts, a Guest can install the App, create an account, and carry over their Guest Response to the App. After carrying it over, the response becomes participation as an Account User and can no longer be viewed or changed from the browser. In some cases it cannot be carried over, for example when the person is already taking part in the same Event with an account.
- For information provided by a Guest, 180 days after the start date and time of the Event (or, for an Event whose start date and time have not been set, the date and time the Guest first answered), we replace the name (including names contained in how companions are shown) with "Guest" and delete the message to the Organizer and the Response Key. Fee Records remain as records of running the Event. Details are set out in the Privacy Policy.
- Only the Organizer and Co-organizers of the Event can read messages to the Organizer.
Article 8 (Relationship Between Managers and Participants and Our Role)
- The Service provides a place for the Managers and Participants to exchange attendance, communication, and Fee Records. How Groups and Events are run, and how fee amounts are decided, collected, and returned, are matters for the Managers and Participants to decide, and we are not a party to them.
- If a dispute arises between Users about paying, receiving, or refunding fees, or about the content, holding, or cancellation of an Event, the parties must resolve it between themselves. We are not responsible for resolving it, except where we acted intentionally or with gross negligence.
- The Managers must observe the following:
- Enter Event information (name, date and time, place, description, fee categories and amounts, payment instructions, and so on) correctly.
- For an Event that allows Guest Response, share the Invitation Link with the understanding that anyone who knows the link can see, without signing in, the Event name, date and time, place, description, the Organizer's display name, the number of people for each attendance answer, and the response deadline.
- Use Participants' information (including Guests' names, numbers of people, and messages to the Organizer) only to the extent needed to run the Event.
- App notifications do not reach Guests. If the Managers need to contact Guests, they must do so outside the Service.
Article 9 (Paid Features)
- The App offers a paid subscription that removes ads (the "Ad-Free Subscription"). The price and period are shown on the purchase screen in the App.
- Purchase, payment, automatic renewal, cancellation, and refunds of the Ad-Free Subscription are governed by the terms and procedures of Apple's App Store or Google Play. Cancel from the account settings of the relevant store. Deleting the App does not cancel the subscription.
- The Ad-Free Subscription applies only to the Account User who purchased it. It does not affect the ads shown to other Participants or to Guests.
Article 10 (Advertising)
- The App may show ads from third-party ad services. Information related to ads is handled in accordance with the Privacy Policy. We are not responsible for the content of ads or for transactions on sites reached through ads, except where we acted intentionally or with gross negligence.
- No ads are shown on the Guest Response web pages.
Article 11 (Prohibited Conduct)
When using the Service, Users must not do any of the following:
- Anything that violates laws or regulations or public order and morals
- Impersonating another person, answering under another person's name, or changing or cancelling another person's response without permission
- Disrupting the running of an Event or the counting of attendance, such as by sending large numbers of fake responses (so-called trolling)
- Using an Invitation Link, Response Key, or Edit Link when you are not its legitimate user, or spreading them so that others can use them
- Accessing, or attempting to access, the servers, networks, or systems of the Service without authorization; placing an excessive load on them; or attempting to get around the measures that prevent misuse
- Using information about other Users learned through the Service for purposes other than running the Event
- Infringing the rights of others (reputation, privacy, copyright, and so on), or posting content that amounts to harassment or discrimination
- Registering or disclosing another person's personal information (especially information requiring special care, such as allergies, or children's information) without that person's consent
- Using the Service for commercial purposes we have not approved (solicitation, advertising, and so on)
- Analyzing, modifying, or copying the App or web pages (except to the extent permitted by law)
- Anything else we judge to be inappropriate
Article 12 (Information Entered by Users)
- The rights to information Users enter into the Service (names, attendance, messages to the Organizer, announcements, messages, images, and so on) remain with the Users who entered it or other right holders.
- We may store, display, and use that information to the extent needed to provide, maintain, and improve the Service and to prevent misuse.
- Users guarantee that they have the right to enter the information they enter.
Article 13 (Suspension of Use)
- If a User violates these Terms, or if we judge it necessary, we may, without prior notice, suspend that User's use and delete their account or the information they entered.
- To prevent misuse such as trolling, we may limit the number of Guest Responses or refuse to accept responses.
- The Managers may stop allowing Guest Response for the Events they run, and may remove Participants.
Article 14 (Changes, Interruption, and Termination of the Service)
- We may change the content of the Service, or add or end parts of it, without prior notice to Users.
- We may temporarily stop all or part of the Service in the following cases:
- When we maintain, inspect, or update our systems
- When there are circumstances beyond our control, such as power outages, disasters, communication failures, or failures of external services we use (cloud, authentication, ads, stores, and so on)
- When we otherwise judge it necessary to stop the Service
- We may end the provision of the Service. If we do, we will give notice in the App or on our website at least 30 days before the end date.
Article 15 (Disclaimer of Warranties and Limitation of Liability)
- We do not warrant that the Service will fit any particular purpose of a User, that it will keep working correctly, or that it will be free of errors or interruptions.
- Fee amounts calculated and attendance totals shown by the Service are based on information entered by the Managers and Participants. We do not warrant that they match the actual arrangements. Check them between the parties before handing over any fees.
- We are not responsible for disputes or damage arising between Users, or between a User and a third party, except where we acted intentionally or with gross negligence.
- If a User suffers damage for reasons attributable to us, we will compensate the User only for direct and ordinary damage actually incurred by the User. This does not include damage arising from special circumstances, such as lost profits. However, this limitation does not apply where we acted intentionally or with gross negligence.
- Even where other provisions of these Terms (Article 7, Paragraph 5; Article 8, Paragraph 2; Article 10, Paragraph 1; and Paragraph 3 of this Article) state that we are not responsible, if a User suffers damage for reasons attributable to us, we will compensate the User as set out in the preceding paragraph.
Article 16 (Personal Information)
We handle Users' information in accordance with the Privacy Policy. The scope of information held through Guest Response, who can see it, how long it is kept, and how to cancel are also set out in the Privacy Policy.
Article 17 (Changes to These Terms)
- We may change these Terms as necessary.
- When we change these Terms, we will announce, in the App or on our website and before the change takes effect, that we are changing these Terms, the content after the change, and the date the change takes effect. For a change that is disadvantageous to Users, we will announce it at least 14 days before the date it takes effect.
- If you use the Service after the date the change takes effect, you are deemed to have agreed to the changed Terms.
Article 18 (Notices and Inquiries)
- We contact Users by displays in the App, by posting on our website, or by any other method we consider appropriate. Because we cannot contact Guests individually, notices to Guests are made by posting on the Guest Response pages or on our website.
- We accept inquiries about the Service (including inquiries from Guests) through our inquiry form (https://www.nos-co.jp/apps/contact/hosmane).
Article 19 (Assignment of Rights and Obligations)
Users may not assign their position under these Terms, or their rights or obligations, to any third party without our written consent. If we transfer the business of the Service to another party, we may pass our position, rights, and obligations under these Terms, and Users' information, to the transferee.
Article 20 (Severability)
Even if any part of these Terms is held invalid under law or otherwise, the remaining parts continue in effect.
Article 21 (Governing Law, Jurisdiction, and Language)
- These Terms are governed by and interpreted under the laws of Japan.
- Any dispute between us and a User concerning the Service is subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
- The Japanese version of these Terms is the official version. If a translated version differs in content, the Japanese version prevails.
Article 22 (The App Obtained from the App Store)
Apple Inc.'s standard Licensed Application End User License Agreement also applies to the App obtained from the App Store. These Terms set out the conditions for using the Service in addition to that agreement.
